The agreement that governs your access to and use of OpsIQ — our AI operating layer for customer operations — whether you use OpsIQ Cloud (SaaS) or the Self-Hosted licensed software.

Licensed, not sold

You get a limited right to use OpsIQ Cloud or Self-Hosted within your plan — OpsIQ and its IP stay with Nabtech.

Your data is yours

You own your Customer Data. For your end-users’ data we act as processor under the DPA — we never train our own models on it.

You pick the AI

You choose your model provider. AI Output can be wrong — review it before you rely on it.

Clear billing

Monthly or annual plans auto-renew at the current rate. Cancel before renewal; 30 days’ notice for price changes.

These Terms set out the deal between you and Nabtech Digitalnet Limited, the company behind OpsIQ. We have kept the structure clear and added a plain-language "In short" note to each section so you can scan quickly — but the full clause text is what governs. Read the whole agreement, and review it with counsel before you rely on it.

1Agreement & acceptance

In short: By signing up, ordering, installing, or using OpsIQ you accept these Terms. A signed Order, if any, wins where it conflicts.

These Terms of Service (the "Terms") form a binding legal agreement between you (the "Customer", "you" or "your") and Nabtech Digitalnet Limited ("OpsIQ", "we", "us" or "our"), the owner and licensor of the OpsIQ platform. By creating an account, clicking "I agree", placing an order, installing the software, generating or activating a licence key, or otherwise accessing or using the Service, you accept these Terms and represent that you have authority to bind the entity you act for.

If you do not agree to these Terms, you must not access or use the Service. If a separate written master agreement, order form, or enterprise contract ("Order") has been signed between you and OpsIQ, that Order controls where it conflicts with these Terms.

These Terms incorporate by reference our Privacy Policy, Acceptable Use Policy, Refund & Cancellation Policy, and, where applicable, our Data Processing Addendum.

2Definitions

In short: Plain meanings for the capitalised words used throughout — Service, Cloud, Self-Hosted, Customer Data, End-User, AI Output, and more.
  • "Service" means the OpsIQ platform and all of its modules — including the AI chat widget, native ticketing, CRM, promotions studio, site/SEO intelligence, visitor analytics, webhooks, surveys, cookie-consent, AI actions and related APIs, documentation and support — delivered as Cloud (SaaS) and/or as Self-Hosted licensed software.
  • "Cloud" or "SaaS" means the hosted version of OpsIQ that we operate and you access over the internet, provisioned per order as one or more workspaces (tenants).
  • "Self-Hosted" means the OpsIQ software you install and operate on your own infrastructure under a licence key.
  • "Customer Data" means all data, content and information that you, your users, or your end-users submit to, generate within, or process through the Service.
  • "End-User" means a visitor, customer, contact or other individual who interacts with the Service through your website, workspace or channels.
  • "AI Output" means content generated by the AI features of the Service in response to prompts and context.
  • "Connector" means an integration that links OpsIQ to a third-party platform or service.
  • "Subscription" means a paid plan for the Service for a defined billing period.
  • "Order" means an order form, quote, or signed agreement that references these Terms.

3Eligibility & accounts

In short: You must be 18+ and use OpsIQ for business. You are responsible for your account, credentials, licence keys, and the people you authorise.

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Service. The Service is intended for business and professional use, not for personal or household purposes.

  • You are responsible for the accuracy of the registration information you provide and must keep it current.
  • You are responsible for all activity under your account and for safeguarding credentials, API keys and licence keys. Notify us immediately at security@opsiqai.com of any unauthorised use.
  • You must not share, sell or transfer account access except as expressly permitted, and you must ensure that anyone you authorise to use the Service complies with these Terms.
  • We may refuse, suspend or terminate accounts that are inactive, fraudulent, or used in breach of these Terms or our Acceptable Use Policy.

4Licence grant & restrictions

In short: OpsIQ is licensed, not sold. You get a limited right to use Cloud and/or Self-Hosted within your licensed scope — no resale, sublicensing, reverse engineering, or key bypass.

The software is licensed, not sold. All right, title and interest in and to OpsIQ, including all intellectual property, remains with Nabtech Digitalnet Limited. Subject to your compliance with these Terms and payment of all fees, OpsIQ grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Service during your subscription or licence term.

4.1 Cloud (SaaS)

For Cloud, we provision and operate one or more workspaces for you. Your right to use Cloud is contingent on an active Subscription and continues only for so long as fees are paid and these Terms are observed. Each Cloud order is provisioned as its own workspace (tenant).

4.2 Self-Hosted licence

For Self-Hosted, we issue a licence key authorising you to install and operate the software on your own infrastructure for the scope, seats, domains, and term stated in your Order. The licence activates against your installation; you may not deploy beyond the licensed scope. You are responsible for hosting, security, patching, backups, and configuration of your installation.

4.3 Restrictions

Except as expressly permitted by these Terms or by applicable mandatory law, you must not, and must not permit any third party to:

  • resell, rent, lease, sublicense, distribute, or operate the Service as a service bureau for third parties without our prior written authorisation;
  • copy, modify, translate, or create derivative works of the software beyond what is required to run it as licensed;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, except to the limited extent such restriction is prohibited by law;
  • circumvent, disable, tamper with, or bypass any licence key, activation, metering, usage limit, or technical protection;
  • remove, alter, or obscure any proprietary notice, branding, or attribution;
  • use the Service to build a competing product or to benchmark for a competing product without our written consent.

5Customer data & ownership

In short: You own your data. We only host and process it to run the Service. For End-User data we act as your processor under the DPA.

You own your Customer Data. As between you and OpsIQ, you retain all right, title and interest in and to your Customer Data. You grant OpsIQ a limited licence to host, process, transmit and display Customer Data solely to provide, secure and support the Service, and as you instruct.

  • For End-User data processed through the Service, OpsIQ acts as a data processor and you act as the controller. Our processing obligations are set out in the Data Processing Addendum and Privacy Policy.
  • You are responsible for the lawfulness of Customer Data and for having all necessary rights, consents and legal bases to submit it and to have it processed by the Service.
  • You control retention of End-User data via your workspace settings, and may export or delete your data as described in your account tools and the Privacy Policy.
  • On Cloud, we maintain backups; deletions propagate within our backup rotation window.

6Your responsibilities & your end-users

In short: You are accountable for how you and your end-users use OpsIQ, for required disclosures and consents, and for the content you put through it.

You are responsible for your use of the Service and for the acts and omissions of your users and End-Users. In particular, you agree that:

  • you will use the Service only for lawful purposes and in compliance with all applicable laws, including privacy, data-protection, consumer, marketing and anti-spam laws;
  • you will obtain and maintain all consents, notices and legal bases required to collect and process End-User data and to communicate with End-Users through the Service (including chat, email, surveys and promotions);
  • you will provide any disclosures required when End-Users interact with AI or automated systems;
  • you are responsible for the content, accuracy and legality of the messages, promotions, knowledge sources and configurations you publish through the Service;
  • you will keep your own systems, websites, credentials and integrations secure.

7AI features & model providers

In short: AI Output can be wrong — review it before relying on it. You choose the model provider; we do not train our own models on your data.

The Service includes AI features that generate AI Output based on prompts and context. You acknowledge and agree that:

  • AI Output is generated probabilistically, may be inaccurate, incomplete or unsuitable, and is provided without warranty. You are responsible for reviewing AI Output before relying on, publishing, or acting on it.
  • AI calls are forwarded to the model provider you choose (for example Anthropic, OpenAI, Gemini, Grok, or a self-hosted model) with the live conversation context required to fulfil the request.
  • We do not train our own models on your Customer Data. Your use of a third-party provider is also subject to that provider’s terms; you are responsible for selecting and configuring providers appropriately.
  • AI features must not be used to generate unlawful, infringing, deceptive, or harmful content, as further described in the Acceptable Use Policy.
  • You are responsible for any regulatory disclosures required when interacting with End-Users via AI (for example, AI-disclosure or automated-decision notices).

8Acceptable use

In short: Our Acceptable Use Policy is part of these Terms. No illegal content, spam, malware, abuse, or AI misuse — or we may suspend you.

Your use of the Service must comply at all times with our Acceptable Use Policy (the "AUP"), which is incorporated into these Terms. The AUP prohibits, among other things, illegal content, spam and phishing, malware, unauthorised access, abusive scraping or load, and AI misuse. We may investigate suspected violations and take action up to and including suspension or termination. Plan limits and fair-use rules are also set out in the AUP and your plan.

9Plans, trials, billing & taxes

In short: Paid plans bill monthly or annually and include set limits. Fees exclude tax; metered usage and add-ons bill on top; we give 30 days’ notice of price changes.

Paid plans are sold as monthly or annual Subscriptions. Pricing is shown at the point of purchase and may vary by plan, region and currency. Each plan includes defined limits (for example, on workspaces, seats, contacts, messages, AI usage, API calls, webhooks, or campaigns).

You authorise us and our payment processors to charge your chosen payment method for all applicable fees, including recurring charges. Fees are due on the invoice date. Refunds and cancellations are governed by our Refund & Cancellation Policy.

10Auto-renewal & cancellation

In short: Subscriptions renew automatically at the current rate unless you cancel before the renewal date. Cancel anytime from your account.

Subscriptions renew automatically at the end of each billing period at the then-current rate unless cancelled before the renewal date. Monthly plans renew monthly; annual plans renew annually. You may cancel at any time from your account or as described in the Refund & Cancellation Policy; cancellation takes effect at the end of the current paid period unless stated otherwise. Trials, if not cancelled before they end, may convert to a paid Subscription and your payment method may be charged at the then-current rate.

11Refunds

In short: Whether a payment is refundable is set out in the Refund & Cancellation Policy.

Whether and to what extent fees are refundable is governed entirely by our Refund & Cancellation Policy, which forms part of these Terms. Except as required by mandatory consumer law or expressly stated in that policy or your Order, fees are non-refundable and amounts paid are not pro-rated on cancellation.

12Third-party services & connectors

In short: Connectors and integrations are governed by their own providers’ terms. You configure them and are responsible for the data you exchange.

The Service can connect to third-party platforms through Connectors, integrations, APIs and webhooks. Those third-party services are governed by their own terms and privacy policies, and OpsIQ is not responsible for them. You are responsible for the configuration, credentials, and lawful use of any integration you enable, and for the data you exchange with third parties through the Service. We may add, change, deprecate, or remove integrations over time.

13Intellectual property

In short: OpsIQ, its software, branding and IP stay ours. You only get the licence we grant. Feedback you give us, we may use freely.

OpsIQ, the OpsIQ software, its modules, user interfaces, documentation, branding, trademarks and all related intellectual property are and remain the exclusive property of Nabtech Digitalnet Limited and its licensors. Nothing in these Terms transfers any ownership to you other than the limited licence expressly granted. If you provide feedback or suggestions, you grant us a perpetual, royalty-free right to use them to improve the Service without obligation to you.

14Confidentiality

In short: Each side protects the other’s non-public information and uses it only to perform under these Terms.

Each party may receive non-public information of the other ("Confidential Information"), including pricing, roadmaps, security details and Customer Data. The receiving party will protect such information with reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and contractors bound by confidentiality. This section does not apply to information that is public through no fault of the receiver, independently developed, or required to be disclosed by law (with notice where permitted).

15Warranties & disclaimers

In short: We provide the Service with reasonable skill and care, but otherwise it is "as is" — no guarantees of uninterrupted service or accurate AI Output.

We will provide the Service with reasonable skill and care. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure against all threats, or that AI Output will be accurate or fit for your purposes. Any uptime, availability or support targets we describe are commercial objectives only and are not contractual guarantees unless expressly committed in a signed Order or service-level agreement. Self-Hosted operation is your responsibility, including hosting, security patching, and configuration.

16Limitation of liability

In short: No liability for indirect or consequential loss; our total liability is capped at the fees you paid us in the prior 12 months — except where the law forbids such limits.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Neither party will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility.
  • OpsIQ’s total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid to OpsIQ for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.

These limitations do not exclude liability that cannot be excluded by law (such as for death or personal injury caused by negligence, or fraud). Some jurisdictions do not allow certain exclusions, so some of the above may not apply to you.

17Indemnification

In short: You cover us for claims arising from your data, your misuse of the Service, your breaches of law, and your AI Output.

You will defend, indemnify and hold harmless OpsIQ and its officers, employees and agents from and against any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising from: (a) your Customer Data; (b) your use of the Service in breach of these Terms or the Acceptable Use Policy; (c) your violation of any law or third-party right, including privacy, data-protection, intellectual-property and anti-spam laws; and (d) your AI Output and how you use it.

18Term, suspension & termination

In short: Either side can end for uncured material breach; we can suspend or terminate for non-payment or abuse. On termination, Cloud data is exportable for ~30 days.

These Terms apply from your first use until terminated. Either party may terminate for material breach not cured within 30 days of written notice. You may cancel your Subscription as described in the Refund & Cancellation Policy. We may terminate or suspend immediately for serious breach, non-payment, or unlawful use.

18.1 Suspension

We may suspend access to all or part of the Service, with or without notice, if: (a) we reasonably believe the Service is being used in violation of these Terms or the Acceptable Use Policy; (b) your use poses a security, legal, or operational risk to OpsIQ, other customers, or End-Users; (c) payment is overdue; or (d) required by law. We will restore access once the cause is resolved where reasonably practicable.

18.2 Effect of termination

Your licence and access end, and you must stop using the Service (Self-Hosted: cease use and, on request, destroy copies). For Cloud, we make Customer Data available for export for a limited window — normally 30 days after termination — after which it may be permanently deleted, subject to legal retention requirements. Sections that by their nature should survive (including ownership, confidentiality, disclaimers, liability limits, indemnities, and governing law) survive termination.

19Service changes & availability

In short: We keep improving OpsIQ and may add, change, or remove features. Availability targets are commercial, not guarantees unless contracted.

We continuously improve the Service and may add, change, deprecate, or remove features. We aim for high availability and will make reasonable efforts to give notice of material adverse changes or planned maintenance. Except where a specific service-level commitment is set out in a signed Order, availability, uptime and support are provided on a commercially reasonable, best-efforts basis and are not guaranteed.

20Data protection

In short: How we handle personal data is set out in our Privacy Policy and, for End-User data we process for you, the Data Processing Addendum.

Our handling of personal data is described in our Privacy Policy. Where we process personal data of your End-Users on your behalf, we do so as your processor under the Data Processing Addendum, which applies and is incorporated into these Terms whenever such processing occurs. You are the controller of that personal data and remain responsible for its lawful collection and use.

21Governing law & disputes

In short: These Terms are governed by the laws of England and Wales, whose courts have exclusive jurisdiction; we try to resolve disputes amicably first.

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-laws rules. The courts of England and Wales have exclusive jurisdiction, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.

Before commencing formal proceedings, the parties will first attempt in good faith to resolve any dispute through their designated contacts. Nothing in this section limits any mandatory rights you may have as a consumer under the laws of your country of residence.

22Force majeure

In short: Neither side is liable for delays caused by events beyond reasonable control (outages, disasters, etc.) — except payment obligations.

Neither party is liable for failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, power or internet failures, third-party provider or infrastructure outages, government action, or pandemics.

23Changes to these Terms

In short: We may update these Terms; the Effective date shows the current version, and we give reasonable notice of material changes.

We may update these Terms from time to time; the Effective date above reflects the current version. For material changes we will provide reasonable notice (for example, by email to account admins or by posting on this page). Your continued use after changes take effect constitutes acceptance. If you do not agree, you must stop using the Service.

24.1 Miscellaneous

  • Assignment: You may not assign these Terms without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Severability: If any provision is held unenforceable, the rest remains in effect and the provision is modified to the minimum extent necessary.
  • No waiver: Failure to enforce a provision is not a waiver of it.
  • Independent contractors: The parties are independent; nothing creates a partnership, agency, or joint venture.
  • Entire agreement: These Terms, together with the documents they incorporate and any signed Order, are the entire agreement between the parties and supersede all prior understandings on the subject.
